Chief Counsel – Commonwealth of Pennsylvania, State Employees' Retirement System (SERS)

Serves as chief legal advisor to the State Employees' Retirement Board, and reports directly to the Governor’s General Counsel in the Office of General Counsel. Provides legal and policy advice to SERS’ Board, Chief Investment Officer and Investment Office, Executive Director and departmental directors on program administration, contract negotiation and procurement, regulatory enactment and enforcement, legislation, and litigation, including affirmative securities litigation, that arise in managing the legal affairs of a $35 billion public pension fund. Serves as principal liaison with outside counsel, the Office of General Counsel, the Office of Attorney General and other Commonwealth agency legal offices. Other major responsibilities include: managing and negotiating a wide variety of sophisticated and complex transactions and litigation; managing a legal office of 15 attorneys and staff, including developing and managing an annual budget; developing, drafting, and analyzing legislative and regulatory initiatives; and providing legal advice and representation on corporate governance matters. Salary to start at approximately $115,000 depending on experience.

Candidates must be (or immediately eligible to be) licensed in good standing to practice law before the Pennsylvania Supreme Court, have experience in state government operations or private and/or public pension funds and have the ability to work closely with senior executive management in both the public and private sector.

Minimum Qualifications for Staff Attorney:

  • Resolving issues identified by the Internal Revenue Service;

JOB FUNCTIONS

General Description:  Provides legal counsel and related services regarding highly complex state and federal insurance and health laws and regulations and other matters related to the administration of statewide health, insurance and retirement plans for Texas public school employees.  Work involves providing appropriate counsel and legal services primarily to TRS staff regarding interpretation of laws such as health laws and trust law; preparing procurement documents and contracts; coordinating with the Office of the Attorney General regarding litigation involving health law issues; participating in the rulemaking process; participating in federal and state privacy and confidentiality issues relating to health care information and records; participating on internal or external committees as assigned; advising the Board of Trustees or its committees on health law matters, as assigned; and assisting with 401(a) pension plan qualification and other tax issues arising from or relevant to health or optional coverage benefits, state open government laws including privacy and confidentiality issues relating to health care information and records, fiduciary issues, ethics issues, and other legal matters as assigned.  Works under general direction of the Director of Legal Services with considerable latitude for the use of initiative and exercises independent professional judgment in consultation with legal team members and the Director of Legal Services.

Other essential duties include, but are not limited to:

  • Reviews and analyzes documents, facts, and relevant laws and rules, and provides legal services, advice, recommendations and determinations to the Director of Legal Services and TRS management and staff with respect to assigned or referred matters, including, but not limited to:
  • Providing legal advice and assistance on privacy issues, including handling of and procedures for protected health information under HIPAA or state law.
  • Assisting the TRS attorney assigned to handle open records requests referred to the TRS Legal Services Department relating to health care records, information, or benefits; including determining whether particular information may be public or confidential by law, meeting deadlines, briefing legal issues, and corresponding with the Attorney General’s Office and with requestors.
  • Reviewing and providing advice regarding proposed state or federal legislation and regulations on insurance and health law matters.
  • Drafting rules and assisting with rulemaking issues.
  • Providing advice and assistance on contracting and procurement matters related to health benefits plans, including drafting procurement documents; drafting and negotiating contracts with vendors, including third party administrators, prescription benefit managers, and HMOs; and, as applicable, drafting TRS network contracts with physicians and hospitals. 
  • Developing or revising procedures for the credentialing of TRS network physicians and hospitals, as applicable.
  • Providing advice and assistance with other legal issues relating to health and optional benefit plans and trusts, including administration and financing of benefits, arising under state statutes, including but not limited to Texas Insurance Code, chapters 1575, 1576, and 1579, or arising under federal laws and regulations, including but not limited to HIPAA (either health care issues or administrative simplification and privacy issues), COBRA, ADA, and ADEA.
  • Providing advice and assistance on tax issues related to a health benefits plan, including issues relating to FSAs, HRAs, and HSAs.
  • Represents TRS in administrative hearings involving a health benefits plan or a claim for benefits, as applicable, or involving other matters, as assigned.
  • Monitors, handles or advises TRS regarding disciplinary actions concerning TRS network providers, as applicable.
  • Conducts or directs legal research with respect to assigned or referred matters.
  • Prepares contracts, memoranda, briefs, rules and amendments to rules, resolutions, policies, guidelines, procedures, pleadings, letters, or other materials as assigned.
  • Attends meetings of the Benefits and Policy Committees of the Board as directed and assists in coordinating meeting materials, drafting proposed resolutions and related materials with regard to the health benefit plans and health law issues.
  • Represents TRS, as assigned, in meetings and negotiations with consultants and vendors, including third-party administrators and pharmacy benefit managers, TRS network doctors and hospitals, governmental agencies, attorneys or other representatives of any of such persons, and outside counsel representing TRS, including the Office of the Attorney General.
  • Assists in selecting and monitoring of outside counsel for health and optional benefit programs and matters, as appropriate, and on other assigned matters.
  • Advises TRS staff who serve on internal or external committees, such as the Interagency Council on Pharmaceuticals Bulk Purchasing.
  • Serves as the Privacy Officer for TRS regarding protected health information or advises TRS staff member serving in that capacity.
  • Works with the Office of the Attorney General on litigation in which TRS is represented by the Attorney General regarding health and optional benefit programs; researches and analyzes legal issues and prepares legal memoranda in aid of Attorney General representation; reviews evidence and prepares discovery responses and affidavits in support of defense or prosecution of litigation.
  • Develops and maintains expertise in assigned areas of responsibility, including specific laws impacting responsibilities, ethics statutes and internal rules and policies affecting TRS as a public entity or as trustee of statutory health or optional benefit plans, and as a public pension fund.
  • Supervises the related work of legal assistants, specialists, and support staff.
  • Tracks deadlines and takes appropriate action on assigned matters.
  • Leads or participates in special projects, as assigned.
  • Performs related work as assigned.

MINIMUM QUALIFICATIONS

 

Education and Experience:

  • Juris Doctor (J.D.) degree or equivalent from an accredited law school.
  • Licensed to practice law in the State of Texas; or hold a valid, active law license issued by another state and be eligible for Texas licensure under Board of Law Examiners Rule XIII: Attorneys From Other Jurisdictions [candidate must obtain Texas license within eight months of hire date].
  • Seven years of full-time experience in the successful practice of law in areas relevant to responsibilities, such as administrative law (e.g., open government laws, records management laws, rulemaking), employee benefits or litigation.
  • Extensive experience in health law, including interpretation and application of laws relating to health insurance, health benefits, optional benefits such as long-term care, or plan design and administration; negotiation of contracts with a pharmacy benefits manager or administrator of a health benefits plan or a network provider of healthcare services; or the representation of clients responsible for developing or administering a health or optional benefits plan or providing such benefits or related insurance.

  • Assisting other legal staff members with responding to requests for investment information under the Texas Public Information Act, including briefing legal issues and corresponding with requestors and the Attorney General’s Office.
  • Reviewing and providing advice regarding proposed state or federal legislation and regulations.
  • Preparing requests for proposal or qualifications and drafting and negotiating contracts with vendors (e.g., software licenses, custody agreements), investment consultants, external discretionary investment managers and outside legal counsel.
  • Reviewing compliance certificates and forms submitted by broker-dealers.
  • Reviewing offering memoranda, subscription documents, and proposed contracts relating to private investments and providing legal advice and services including drafting and negotiating transaction documents, as assigned.
  • Providing legal services relating to custody of pension assets and securities lending for the investment function, as assigned.
  • Preparing and negotiating soft dollar contracts.
  • Maintains and applies knowledge of, and provides advice and assistance regarding, all applicable federal, state, and TRS laws, rules and policies.
  • Performs legal research and analysis and prepares research memoranda or briefs as assigned.
  • Prepares contracts, resolutions, policies, guidelines, procedures, pleadings, letters, or other materials as assigned.
  • Attends meetings of the Board of Trustees and the Policy, Risk Management, and Private Markets Committees of the Board as directed, and assists in reviewing or preparing meeting materials(e.g., agendas), drafting proposed resolutions, motions, policies, and related materials with regard to TRS investments and risk management issues.
  • Represents TRS, as assigned, in meetings and negotiations with investment consultants and vendors and other external parties or entities.
  • Coordinates heavy workload with legal team for investments and provides backup for other team attorneys as needed or assigned.
  • Maintains a well organized, large volume of electronic and paper files relating to all assigned matters, with minimal assistance from support staff.
  • Prepares, participates in, and responds promptly to a high volume of electronic and telephonic correspondence, including a high volume of documents delivered as attachments to e-mail.
  • Provides legal analysis and advice concerning litigation, including complex damages calculations and class actions under the Private Securities Litigation Reform Act, and including monitoring and supervising outside counsel engaged to assist TRS, as applicable; works closely with legal support staff assigned to monitor securities class actions and file proofs of claims.
  • Prepares requests for qualifications for outside legal counsel, assists or advises on the selection of counsel, prepares engagement documents for approval by the Attorney General’s office, and reviews and approves invoices for payment, as assigned.
  • Works with and assists the Office of the Attorney General on litigation in which the AG represents TRS.
  • Prepares audit inquiry responses on behalf of TRS, as assigned.
  • Reviews and advises on terms and conditions of coverage under fiduciary liability and D&O policies; negotiates renewal or replacement policies; and analyzes coverage as assigned.
  • Develops and maintains expertise in all assigned areas of responsibility.
  • Supervises the related work of legal assistants, specialists, and support staff.
  • Tracks and meets all applicable deadlines and takes appropriate action on assigned matters.
  • Leads or participates in special projects and committees, as assigned.
  • Performs related work as assigned.

MINIMUM EDUCATION AND EXPERIENCE REQUIREMENTS

Experience providing legal services for investment transactions and derivatives contracts.  Experience in employee benefits and pension law (including ERISA, tax, ADEA, HIPAA, COBRA), trust law, law relating to wills/probate and estates, elder law, bankruptcy law, or liability/D&O/Fiduciary insurance.  Knowledge of securities fraud and class action litigation, corporate governance issues, and fiduciary duties of trustees; and of Texas state agency procurement laws and regulations, open government laws, and public entity authority issues.

The General Counsel will attend all Board meetings and advise the Board and Executive Director on all system legal matters (excluding investments) and on matters of open government and ethics. The General Counsel will provide direct oversight to the legal department which presently has a staff of two attorneys, an administrative assistant, and a governmental relations director.
In addition to having a broad generalist legal foundation, ideal candidates will possess specific fluency in the area of government/public benefits, benefit plans and benefit tax laws, and will have demonstrated principled leadership and initiative. Their legal experience will allow them to be licensed in Texas without sitting for the bar exam and they will have a continuing commitment to enhancing their legal knowledge and professional associations. The General Counsel will be an active, fully contributing member of the system’s executive team. They will possess interpersonal skills for fostering relationships and cooperative interaction with members of the legislature, the Board of Trustees, the legal staff, system personnel, as well as other attorneys and executives. This is intended to be a long-term relationship with the incumbent who will take a personal and proprietary interest in managing and maintaining a legal department dedicated to providing superior service and actively supporting the Texas County & District Retirement System in its pursuit of excellence in the delivery of services to our membership.

PRIMARY RESPONSIBILITIES:

  • Assist the organization in accomplishing the Board’s Ends policy and goals.
  • Provide expert legal counsel, advice and opinions for all TCDRS business operations.                                                     
  • Work with executive team members to develop appropriate solutions to internal business operations legal needs.
  • Provide clarity of language in all legal writings.
  • Provide legal advice and counsel on policy decisions under consideration.
  • Help assess organizational risk, including publications and communications.
  • Provide updates on pertinent state/national legal and benefit plan issues.
  • Manage, effectively and efficiently, the legal, governmental relations and other departmental functions as required.
  • Involvement and oversight in the development of the bi-annual TCDRS legislative bill.
  • Develop administrative rules, governance policies, internal policies, internal benefit programs and system-wide benefit programs as required.
  • Attend TCDRS Board of Trustee meetings. Advise the board on relevant system and industry issues.
  • Represent the organization, with outside counsel as needed, in civil actions and administrative hearings.
  • Attend and speak at various conferences sponsored by TCDRS.
  • Serve as a TCDRS expert before the Texas legislature and its committees, Texas Pension Review Board, and others as required.
  • Develop and author articles for TCDRS publications as requested.
  • Maintain participation with NAPPA and other professional associations.
  • Perform related work as assigned by the Director.

QUALIFICATIONS:

Education: Juris doctor degree from an accredited law school; must be eligible to become licensed by the State Bar of Texas
Experience: A minimum of ten years of general practice experience including the representation of public clients involving governmental benefits, the IRC, and related pension matters.

  • Ability to analyze legislation and statutes, perform research, and exercise sound judgment.
  • Ability to communicate and interact with a variety of professionals, staff, elected officials and the general public.
  • Ability to manage legal and governmental relations staff.
